Please read these Terms and Conditions (‘Terms’) carefully before using the services provided by Solve Via Tech (‘Company’, ‘we’, ‘us’, or ‘our’). By engaging our services or accessing our website (solveviatech.com), you agree to be bound by these Terms.
1. Definitions
- ‘Client’ or ‘You’ refers to the individual, company, or organisation engaging our services.
- ‘Services’ refers to all digital services offered by Solve Via Tech, including but not limited to website development, software development, digital marketing, AI & automation, creative solutions, and Amazon/eBay services.
- ‘Agreement’ refers to any proposal, quote, or contract accepted by both parties, together with these Terms.
- ‘Deliverables’ means the work product, files, designs, code, content, or other materials created by Solve Via Tech for the Client.
2. Scope of Services
The specific services to be provided will be defined in a written proposal, project brief, or service agreement. Any additional work outside the agreed scope will require a separate written agreement and may incur additional costs.
3. Fees and Payment
3.1 Pricing
Fees for our services are set out in the project proposal or pricing plan. All fees are subject to change; updated pricing will be communicated in advance.
3.2 Payment Terms
Payment terms are outlined in the project agreement. Unless otherwise agreed in writing:
- A deposit may be required prior to the commencement of work
- Remaining balances are due upon completion or as specified in the payment schedule
- Late payments may result in suspension of services
3.3 Taxes
All fees are exclusive of any applicable taxes (including VAT or GST), which will be added where required by law.
4. Intellectual Property
4.1 Ownership of Deliverables
Upon receipt of full payment, the Client will own the final deliverables created specifically for their project, unless otherwise agreed in writing. Any underlying frameworks, tools, libraries, or pre-existing materials used remain the property of Solve Via Tech or their respective owners.
4.2 Company Portfolio Rights
Solve Via Tech reserves the right to display completed projects in our portfolio and use them as case studies or promotional examples, unless the Client requests otherwise in writing.
4.3 Third-Party Materials
The Client is responsible for obtaining the necessary licences or permissions for any third-party content (images, fonts, software, etc.) they provide or request for use in their project.
5. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information, materials, and approvals required for the project
- Review deliverables and provide feedback within agreed timelines
- Ensure that any content, data, or materials provided do not infringe upon any third-party rights
- Not use our services for unlawful, fraudulent, or unethical purposes
6. Revisions and Amendments
The number of revisions included in a project will be specified in the project agreement. Revisions beyond the agreed scope may be charged at our standard hourly rate. Significant changes to the project brief after work has commenced may result in revised timelines and costs.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Neither party will disclose the other’s confidential information to third parties without prior written consent, except as required by law.
8. Timelines and Delays
We will make reasonable efforts to deliver projects within agreed timelines. However, delivery schedules are estimates and may be affected by:
- Delays in receiving content, approvals, or feedback from the Client
- Technical issues or force majeure events beyond our control
We will communicate any delays promptly. Solve Via Tech is not liable for losses arising from reasonable timeline delays.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Solve Via Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with our services.
Our total liability to the Client for any claim arising out of or relating to our services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
10. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care. However:
- We do not guarantee specific outcomes, such as search engine ranking positions or revenue increases, as these depend on factors outside our control
- Our website and services are provided ‘as is’ without warranties of any kind beyond those expressly stated
11. Termination
11.1 By the Client
The Client may terminate a project by providing written notice. Any work completed up to the termination date will be invoiced and payable. Deposits are non-refundable unless otherwise agreed.
11.2 By Solve Via Tech
We reserve the right to terminate or suspend services if:
- The Client is in breach of these Terms
- Payment is significantly overdue
- The Client engages in unlawful or unethical behaviour
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Amendments to Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on our website. Continued use of our services after changes are published constitutes your acceptance of the updated Terms.
14. Entire Agreement
These Terms, together with any project agreement or proposal, constitute the entire agreement between the Client and Solve Via Tech regarding the subject matter herein, and supersede all prior discussions, representations, or agreements.
